SmartSolo.ai — Terms of Service

1) Acceptance of Terms

These Terms of Service (“Terms”) are a binding agreement between you (“Customer,” “you,” or “your”) and Smart Logic AI, Inc., a Utah corporation, doing business as SmartSolo.ai (“Company,” “we,” “us,” or “our”). By creating an account, accessing, or using the SmartSolo.ai services (the “Service”), you agree to these Terms. If you use the Service on behalf of an organization, you represent you have authority to bind that organization; “you” includes that organization.

2) The Service

SmartSolo.ai is a multi-tenant, AI-driven productivity and orchestration platform available by direct subscription or white-label deployment via authorized resellers and designated local administrators (“Local Admins”).

3) Accounts, Billing, and Payment

  • Account types. Direct Customers are billed by Company. White-label/managed accounts are created and administered by Local Admins and billed by the Local Admin.
  • Data ownership in white-label. End-user data is owned by the end-user organization. Local Admins act as controllers; Company acts as processor.
  • Liability allocation. Company is not liable for acts or omissions of Local Admins. Local Admins are responsible for legal compliance for their managed tenants.
  • Fees and payment. Fees are payable in USD in advance, monthly or annually. Refunds are non-refundable except as required by law, an executed agreement, or Section 11 (Company termination without cause). Taxes are additional, excluding taxes on our net income.
  • Trials and promotions. Trial access may be limited, revokeable, and subject to change.
  • Fair use and rate limits. We may apply technical limits to protect platform stability.

4) Service Levels (SLA)

  • Uptime commitment. 99.5% monthly uptime, excluding scheduled maintenance (announced ≥48 hours in advance) and force majeure.
  • Measurement. Uptime % = (Total minutes − Downtime minutes) ÷ Total minutes × 100, measured by Company monitoring.
  • Claims. Submit SLA credit requests within 30 days after month end with incident details.
  • Credits. If uptime < 99.5%, you may request a pro-rated credit for downtime during that billing period.

5) Security and Processing

  • Secure cloud hosting (e.g., Supabase) with row-level security (RLS) and role-based access control.
  • Encryption: AES-256 at rest; TLS 1.2+ in transit.
  • Annual third-party penetration testing and continuous monitoring.
  • Breach notification without undue delay and within 72 hours of confirmation if your data is affected.
  • Sub-processors listed at smartsolo.ai/subprocessors (30 days’ prior notice for changes).
  • Data Processing Agreement (DPA) available and incorporated by reference for GDPR-like regimes.

6) Data Retention and Deletion

  • Active systems: deletion within 30 days of termination.
  • Backups: purge within 90 days of termination.
  • Legal holds: retention as required by law.

7) Acceptable Use

You will not: use the Service for illegal, fraudulent, or malicious purposes; reverse-engineer or access source code; introduce malicious code; access data or systems without authorization; or resell/sublicense without prior written consent.

8) Third-Party Integrations

Integrations are governed by each provider’s terms. Company is not responsible for third-party availability, performance, or data handling. You authorize necessary data flows to deliver requested features.

9) Intellectual Property; AI Output

  • Ownership. Company retains all IP in the Service. You retain IP in your data.
  • AI output. You are responsible for evaluating AI outputs for accuracy and suitability before use.
  • Feedback license. You grant Company a non-exclusive, royalty-free license to use feedback to improve the Service.

10) Warranty Disclaimer and Liability Limits

  • Disclaimer. The Service is provided “AS IS” and “AS AVAILABLE.”
  • Liability cap. The lesser of USD $100,000 or the fees you paid in the prior 12 months.
  • Exclusion. No indirect, incidental, special, consequential, punitive damages, or loss of profits/revenue.

11) Indemnification

You will defend, indemnify, and hold harmless Company and its officers, directors, and employees from claims arising out of your use of the Service, breach of these Terms, or violation of law.

12) Suspension and Termination

  • By you. You may terminate at any time; effective at the end of the current billing cycle.
  • By us. We may terminate with 30 days’ notice, or immediately for material breach, security risk, or legal risk.
  • Refund on early termination without cause by Company. Pro-rata refund of unused prepaid annual fees.
  • Effect. Data deletion per Section 6. Sections intended by nature to survive will survive termination.

13) Confidentiality

Each party will protect the other’s Confidential Information using reasonable measures. Exclusions include information that is public, independently developed, or rightfully obtained without restriction.

14) Publicity

No party will use the other’s name, logo, or marks without prior written consent, except for mutually approved case studies or joint announcements.

15) Governing Law; Dispute Resolution

Utah law governs these Terms. Venue lies in Utah state or federal courts. Before filing suit, parties will attempt good-faith mediation.

16) Changes to Terms

We may modify these Terms with 30 days’ notice for material changes. If a change is materially adverse, you may terminate without penalty before the change takes effect.

17) Miscellaneous

Force majeure; assignment with consent (not unreasonably withheld); severability; waiver; entire agreement.
