SmartSolo.ai — Terms of Service
1) Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of SmartSolo.ai websites, applications, platforms, and third-party integrations (the “Service”) provided by Smart Logic AI, Inc. (“Company,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.
2) Eligibility and Account
- You must be at least 16 years old and have authority to enter into these Terms.
- You are responsible for your account credentials and all activity under your account.
- You agree to keep your account information accurate and up to date.
3) Subscriptions, Billing, and Taxes
- Plans and Fees. Some features require a paid subscription. Prices are in USD unless stated otherwise.
- Payments. Payments are processed by Stripe (PCI DSS–compliant). We do not store full card numbers.
- Renewals. Subscriptions renew automatically unless canceled before the renewal date.
- Taxes. You are responsible for applicable taxes and fees.
- Refunds. Fees are non-refundable except where required by law or expressly stated.
- Changes. We may update prices or plan features on notice, effective on the next billing cycle.
4) Cancellation and Termination
- By You. Cancel anytime in-app (Settings → Account → Cancel/Manage Plan) or by contacting support before renewal to avoid the next charge.
- By Us. We may suspend or terminate for breach, legal risk, abuse, nonpayment, or security threats. We will provide notice when reasonable.
- Effect. Upon termination, access ends. We will delete or anonymize Customer Data within 30 days, except where retention is legally required or necessary to resolve disputes; remaining data is then deleted. See the Privacy Policy.
5) Acceptable Use
- No unlawful, infringing, harmful, deceptive, or abusive activity.
- No reverse engineering, scraping, or circumventing security or rate limits.
- No uploading malicious code or interfering with Service operation.
- No use in high-risk scenarios where failure could lead to death, personal injury, or severe environmental or property damage.
- Follow third-party terms for connected services (e.g., Google, Microsoft, AI providers).
6) Prohibited Data
Do not submit the following unless a separate, signed agreement expressly permits it:
- Protected Health Information (PHI).
- Full payment card data (PAN/CVV).
- Government-classified data.
- Export-controlled technical data.
7) AI Outputs and No Professional Advice
Outputs may be generated by AI and can be inaccurate or incomplete. You are responsible for review and use. The Service does not provide legal, medical, accounting, financial, or other professional advice.
8) Third-Party Services and Integrations
- The Service integrates with third parties (e.g., Google, Microsoft, OpenAI, Anthropic, Google Gemini, Vercel, Supabase, Memberstack, Stripe, Amplitude).
- Your use of third-party services is subject to their terms. We are not responsible for their actions.
- We request minimum necessary permissions via OAuth consent screens. You may revoke access at any time (see Privacy Policy).
8A) Google API Services — Limited Use
Our use and transfer of Google API data complies with the Google API Services User Data Policy, including Limited Use. We use Google user data only for user-requested, user-facing features; not for advertising, marketing, general analytics, profiling, or training generalized AI/ML models. Human access is strictly limited, pre-approved, logged, and monitored, and permitted only for security, legal compliance, or user-requested troubleshooting. No unauthorized third-party transfers.
8B) Microsoft Services
Authentication uses OAuth 2.0; we do not collect Microsoft credentials. Microsoft Graph data is used only for user-requested features and not for advertising, general analytics, or profiling. You can revoke access via My Apps or Microsoft Entra permissions.
9) Customer Data, IP Ownership, and License
- Your Data. You own your content (“Customer Data”). You grant us a non-exclusive, worldwide, limited license to host, process, transmit, and display Customer Data to provide the Service and support.
- Aggregated/De-identified Data. We may use de-identified or aggregated data to operate and improve the Service, provided it contains no personal data or Google/Microsoft API content in violation of the Privacy Policy or Limited Use.
- Our IP. We own the Service, technology, software, and content. No rights are granted except as stated in these Terms.
10) Security and Privacy
- Administrative, technical, and organizational measures, including encryption in transit and at rest, role-based access controls, and continuous monitoring.
- The Privacy Policy explains data collection, use, retention, and your rights (including in-app deletion and revocation controls).
- Enterprise customers may request our Data Protection Addendum (DPA) with Standard Contractual Clauses where applicable.
10A) Customer Security Responsibilities
- Enable multi-factor authentication and maintain strong, unique credentials.
- Limit access to authorized users; rotate API keys promptly if exposed.
- Configure least-privilege permissions in connected services.
- Notify us promptly of suspected account compromise.
11) Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant the Service will be uninterrupted, error-free, or free of harmful components.
12) Limitation of Liability
To the maximum extent permitted by law, neither party is liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, data, or business opportunities, arising out of or related to these Terms or the Service. The total liability of a party for all claims in any 12-month period is limited to the greater of: (i) the fees you paid for the Service giving rise to the claim in that period, or (ii) US $100. The foregoing does not limit liability for willful misconduct or amounts that cannot be limited by law.
13) Indemnification
You will defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Service, violation of these Terms, or infringement of third-party rights.
14) Export and Sanctions Compliance
You represent that you are not located in, under the control of, or a national or resident of any restricted country or on any restricted list. You agree to comply with applicable export control and sanctions laws.
15) Governing Law; Disputes
- These Terms are governed by the laws of the State of Utah and applicable U.S. federal law, without regard to conflicts of laws rules.
- Binding Arbitration. Any dispute will be resolved by binding arbitration under the AAA Commercial Rules in Salt Lake County, Utah, in English, on an individual basis. Class actions and jury trials are waived. Either party may seek injunctive relief in court for misuse of IP or confidentiality breaches.
- Arbitration Opt-Out. You may opt-out within 30 days of first accepting these Terms by emailing legal@smartsolo.ai.
- Small-claims court carve-out remains available.
15A) DMCA Notice
Send copyright notices to legal@smartsolo.ai including: your contact information, identification of the copyrighted work, the URL of allegedly infringing material, a good-faith statement, and your signature.
16) Changes to the Service or Terms
We may update these Terms. Material changes will be posted at this URL with a new “Last updated” date. Continued use after changes means you accept the updated Terms.
17) Miscellaneous
- Order of Precedence. If inconsistent: any signed Order Form → Data Protection Addendum (DPA) → these Terms → Privacy Policy.
- Entire Agreement. These Terms and the documents above are the entire agreement and supersede prior agreements regarding the Service.
- Severability. If any provision is unenforceable, the remainder remains in effect.
- Assignment. You may not assign these Terms without our consent. We may assign to an affiliate or in a merger, acquisition, or asset sale.
- Force Majeure. Neither party is liable for delays caused by events beyond reasonable control.
- Notices. We may send notices to the email on your account or by posting to the Service. You may send notices to legal@smartsolo.ai.
